TKM Grupp AS is widening its security segment across the Baltics by adding a Latvian subsidiary and agreeing to buy companies that wholesale security systems in Estonia, Latvia and Lithuania.

On 16 October 2026, Walde SIA, wholly owned by the Estonian wholesaler Walde AS, was entered in the Commercial Register of the Republic of Latvia. Its share capital is 2,800 euros, and its planned main activity is wholesale distribution of security systems. Sander Sasi, a member of the management board of Walde AS, is also a member of the management board of Walde SIA. TKM Grupp acquired 100% of Walde AS in 2023 after a stock-exchange announcement on 23 December 2022.

On the same day, Walde AS and Walde SIA agreed to acquire 100% of three companies whose principal activity is wholesale distribution of security systems. They distribute products for manufacturers including Panasonic Eco Solutions Nordic AB, Robert Bosch AB, Dahua Technology (HK) Limited, Schneider Electric Latvija SIA, Optex, Inner Range, Teletek, HID and Keenfinity Sweden AB. The purchases are intended to strengthen one of the group’s fastest-growing areas, bring new products to market and build a pan-Baltic wholesale business.

In 2025 the companies being acquired generated sales of 14.1 million euros and a profit of 0.7 million euros. Walde AS generated sales of 3.2 million euros and a profit of 0.25 million euros. Their business is to continue unchanged, and the transaction does not include workforce changes. Completion depends on approval from the Competition Authority and on further actions in the share purchase agreement.

TKM Grupp states that the subsidiary and the purchases are not a qualifying holding or a related-party transaction under the Nasdaq Tallinn requirements for issuers, and that they have no material effect on the group’s consolidated results. Members of the supervisory board and the management board have no other personal interest in the transactions. The announcement names Raul Puusepp, chairman of the board, as the contact.
